Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the shipsmith.ai website. Use of the ShipSmith AI product itself is governed by a separate commercial agreement between ShipSmith and the customer organisation.

1. Agreement to these terms

By accessing or using the shipsmith.ai website you agree to these Terms. If you do not agree, do not use the site. If you use the site on behalf of an organisation, you represent that you are authorised to accept these Terms for that organisation.

2. Definitions

  • “Site” means the public website at shipsmith.ai.
  • “Product” means the ShipSmith AI platform and related services.
  • “Customer Agreement” means the order form, master services agreement and any addenda governing use of the Product.
  • “Content” means text, graphics, software and other materials made available through the Site.

3. The website and the product

The Site provides information about ShipSmith, its services and the Product. The Site is informational; access to and use of the Product requires a Customer Agreement. In the event of a conflict between these Terms and a Customer Agreement regarding the Product, the Customer Agreement controls.

4. Acceptable use

You agree not to:

  • Use the Site unlawfully or in breach of these Terms.
  • Interfere with or disrupt the Site, its security or its infrastructure.
  • Attempt to gain unauthorised access to any system or data.
  • Scrape, harvest or copy Content except as permitted, or misrepresent your affiliation.
  • Upload malicious code or use the Site to transmit unlawful or harmful material.

5. Intellectual property

The Site and its Content, including trademarks, logos, text, graphics and software, are owned by ShipSmith or its licensors and are protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive licence to view the Site for your internal, non-commercial evaluation. No other rights are granted.

6. Your submissions

If you send us enquiries, feedback or suggestions, you grant us a non-exclusive, perpetual, royalty-free licence to use them to operate and improve our services. Do not submit confidential information through the Site’s public forms; product data is handled under the Customer Agreement and our Privacy Policy.

7. Fees and billing

The Site is free to browse. Product pricing is described on our Pricing page and is confirmed in the Customer Agreement. Billing, refunds and cancellations for the Product are governed by the Customer Agreement and our Refund Policy.

8. Third-party links and services

The Site may link to third-party websites or services we do not control. We are not responsible for their content, policies or practices, and your use of them is at your own risk and subject to their terms.

9. Disclaimers

The Site and its Content are provided “as is” and “as available” without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. Illustrative figures (such as ROI ranges and measured outcomes) are drawn from pilot programs and are estimates only; actual results vary by fleet, vessel and usage. ShipSmith AI supports human decision-making and does not replace the professional judgement of qualified seafarers and officers; operational, safety and compliance decisions remain the responsibility of the user and customer.

10. Limitation of liability

To the maximum extent permitted by law, ShipSmith and its affiliates will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or goodwill, arising from your use of the Site. Our total aggregate liability arising from or relating to the Site will not exceed one hundred US dollars (US$100). Nothing in these Terms excludes liability that cannot be excluded under applicable law.

11. Indemnification

You agree to indemnify and hold harmless ShipSmith from claims, damages and expenses (including reasonable legal fees) arising from your breach of these Terms or misuse of the Site.

12. Suspension and termination

We may suspend or terminate your access to the Site at any time, with or without notice, if we believe you have violated these Terms or to protect the Site. Provisions that by their nature should survive termination will survive.

13. Governing law and disputes

These Terms are governed by the laws of [India], without regard to conflict-of-laws rules. The courts located in [India] will have exclusive jurisdiction over disputes arising from these Terms, subject to any mandatory rights you have under local law.

14. Changes to these terms

We may update these Terms from time to time. Changes take effect when posted, and we will update the “Last updated” date. Your continued use of the Site after changes constitutes acceptance.
